License Agreement for CODES2000^TM Software

IMPORTANT--READ CAREFULLY: This License Agreement is a legal agreement between your organization as an authorized National Highway Traffic Safety Administration CODES Project and Strategic Matching, Inc. ("Strategic Matching ") for use of the software product known as CODES2000, which includes computer software and associated media, printed materials, and electronic documentation ("CODES2000"). CODES2000 also includes any updates and supplements to the original release of CODES2000 provided to you by Strategic Matching. By installing, copying, downloading, accessing, or otherwise using CODES2000, you agree to be bound by the terms of this Agreement, except as may be modified in any written license addendum from Strategic Matching. If you do not agree to the terms of this Agreement, return CODES2000 to Strategic Matching and do not install or use CODES2000.

1. License to Use CODES2000. The copy of CODES2000 software that accompanies this license is the property of Strategic Matching and is protected by copyright laws and intellectual property laws. CODES2000 is licensed for use, not sold. You may install and use one copy of CODES2000 on a single computer (the "CODES computer") only for the purpose of implementing Crash Outcome Data Evaluation Systems (CODES) for your state, and any other related record linkage projects approved by your CODES Board of Directors. You may install and use a second copy on a portable computer, providing it is used exclusively for your CODES activities. You may make one copy of CODES2000 solely for backup or archival purposes. You may not network CODES2000 or otherwise use it on more than one computer at the same time. CODES2000 is a Microsoft Access® Application. You must obtain and install a current licensed copy of Microsoft Access® in order to use CODES2000. This license to use CODES2000 does not entitle you to a copy of Microsoft Access®.

2. Copy Restrictions. Making copies of CODES2000 for any purpose, other than backup, is prohibited and may be a violation of the U.S. Copyright Law. CODES2000 is not public domain, shareware, or freeware. Distribution on the Internet, or by any other means of copying, recording, storage, retrieval, broadcast or transmission of all or any portion of CODES2000 is prohibited.

3. Transfer Restrictions. This License is transferable only with written permission from Strategic Matching and only on a permanent basis, provided that you retain no copies of the software. You may not sublicense, rent, or lease any portion of CODES2000. You may not reverse engineer, decompile, disassemble, modify, translate, un-password protect, make any attempt to discover the source code of CODES2000, or create derivative works from CODES2000 at any time. You may not copy or disclose to anyone any proprietary or confidential materials obtained from Strategic Matching, including, but not limited to, form designs, software source code, and help file source pages.

4. Termination. You may continue to use CODES2000 only for as long as your CODES Project is active and in good standing as determined by NHTSA. If your organization fails to perform in this manner you must return CODES2000 to Strategic Matching. The License will terminate automatically without notice from Strategic Matching if you fail to comply with any provision of the License. You may voluntarily terminate at any time.

5. Disclaimer of Warranty. CODES2000 is provided "as is" without warranty of any kind, either express or implied, including, but not limited to warranties of merchantability or fitness for a particular purpose. You are solely responsible for the use of, and results obtained from, CODES2000.

6. Limitation of Liability. Strategic Matching assumes no liability for any alleged, actual, or indirect damages arising from the use of or the inability to use CODES2000, including loss profits or lost data. Some states do not allow exclusion or limitation of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you.

PCVINA for CODES implements PCVINA for Windows Version 2.32 Release 05-01 Copyright (c) 1997-2008 by R. L. Polk & Co. This special implementation of PCVINA can only be used by NHTSA grantees in good standing for Crash Outcome Data Evaluation Systems (CODES). If you do not accept this limitation then you cannot use PCVINA for CODES.
